Learning outcomes

At the end of the course, the student should be able to:
-decide, according to the economic theory, if a definite activity must be organized inside or outside the firm,
taking into account the economic nature of this activity, the degree of specificity of the concerned assets, the number of possible suppliers.

-Prepare and write a cooperative agreement between two partners, each of them being in a situation of imperfect knowledge about the strategic objectives pursued by the partner

-take into account the international law framework concerning this type of agreements

- have a general knowledge of the different methods rekative to the firms financial valuation

Course description

1°) main economic concepts necessary to the understanding of the agreement to write (based on an analysis of a business case: "The Benetton case".

2°) presentation of a general framework (and main steps) of a negiciation necessary to write efficient agreements.

3°) Financial analysis of a small and medium firm

4°) Presentation of the specific case submitted to the students(a subcontracting agreement between a big international firm and a small specialized firm)

5°) final analysis of the main clauses of the agreements written by the different teams of students
